Board of Directors
The Board of Directors, appointed 23 March 2010 and whose term expires with approval of the Financial Statements at 31 December 2012, plays a key role in the corporate organisation.

- Paolo Astaldi - ChairmanPaolo Astaldi has been Chairman of Astaldi Group since 2010. He also holds the office of Chairman of Astaldi Construction Corp., which operates in the North American market, and the office of CEO of Fin. Ast. S.r.l., Astaldi Group’s current Holding Company.
Graduated in Economics in 1988, he holds positions within trade associations; he is a member of the Permanent Committee “Lavori all’Estero” of ANCE – the Italian Association of Private Construction Contractors, a member of the Chairmanship Committee of Assonime, a member of the Committee of Regency in Rome of Banca d’Italia – the Italian Central Bank, as well as a member of the Executive Committee of Confindustria Lazio.
Already honoured with the title of “Commendatore al Merito della Repubblica Italiana” since 1998, the President of the Italian Republic, Giorgio Napolitano, conferred on him the honour of “Grande Ufficiale Ordine al Merito della Repubblica Italiana” in June 2011. - Ernesto Monti - Deputy ChairmanHe was appointed Honorary Chairman of Astaldi Group in 2007 after having held the position of Chairman since 2000. An economics graduate, he started his professional career in 1971 in Banca d’Italia. In 1976 he moved to IMI Group where he held the position of General Finance Manager – Italy and in 1984 he moved to Banca Nazionale dell’Agricoltura. He subsequently worked for Banco di Santo Spirito where he was appointed Central Manager in 1989. In 1992 he took on the same position at Banca di Roma (formerly Capitalia and currently Unicredit) where he was appointed Deputy General Manager in 1996. He is also the Chairman of Tosinvest and a member of the Board of Directors of Unicredit BdR, Erg Renew and Alitalia. He was a lecturer at Bocconi Management School from 1976 to 1980, a contract professor at Modena University in 1983 and 1984 and has held the chair of Corporate Finance at LUISS Guido Carli University in Rome since 1986.
- Giuseppe Cafiero - Deputy ChairmanHe has been Astaldi Group S.p.A.’s Chief Executive Officer, responsible for industrial activities, since 2006. He graduated in Civil Engineering from La Sapienza University of Rome in 1968. He joined the company in 1983 as Head of the LEP project (Large Electron Positron Collider) at CERN in Geneva, held the position of Technical Manager for several years and was appointed General Manager for foreign activities in 1991. From 1994 to 2001 he also held the position of General Manager of Pegaso S.c.r.l. and was a member of the Board of Directors of Consorzio Iricav Uno, both of which Astaldi held a stake in and which were involved in construction of the Rome-Naples High Speed railway line. Before joining Astaldi, he was involved in construction of the Rome-Florence fast railway line during the 1970s and of Gioia Tauro port. He also spent five years in Africa where he worked on major road and hydraulic works.
- Stefano Cerri - Chief Executive OfficerHe has been Astaldi Group S.p.A.’s Chief Executive Officer, responsible for development of activities, since 2005 after having held the position of General Manager – Administration and Finance for approximately seven years. A Business and Economics graduate as well as a qualified professional accountant, he started his career in the Audit Division of the auditing firm Arthur Andersen. From 1987 to 1989 he held the position in Italstat of controller of group companies working in the area of motorway and construction concessions, while for the following ten years he worked firstly as a senior manager and subsequently as a partner in the international auditing and consulting firm Ernst&Young. He joined Astaldi Group S.p.A. in 1998 as General Manager – Administration and Finance and became a member of the Board of Directors in 2000.

- Pietro Astaldi - DirectorHe has been a member of the Board of Directors of Astaldi S.p.A. since 1995.
- Luigi Guidobono Cavalchini - DirectorA law graduate from Turin University, he began his diplomatic career in 1961. He was part of the Permanent Italian Delegation at the European Community from 1964 to 1969 and subsequently held the position of Consul in Berne. From 1971 to 1972 he returned to Brussels as coordinator of the Italian presidency of the European Council. He held the position of Chief Secretary of the Economic Affairs Head Office of the Ministry of Foreign Affairs until 1977. After various positions within the Permanent Delegation at the OECD and Italian Embassy in Paris, he was firstly an attaché and subsequently head of ministerial staff at the Ministry of Foreign Affairs from 1979 to 1989. He was appointed Ambassador in 1987. In 1989 he was the General Secretary of the Prime Minister’s Office. He was the Italian Ambassador in Paris from 1991 to 1995 and Italy’s Permanent Representative at the European Union until 2000. From 2000 to 2001 he once again held the position of head of ministerial staff of the Ministry of Foreign Affairs. He chaired the Italian delegation in the Italo-French intergovernmental commission set up following the Mont Blanc tunnel accident in 1999. He has been Chairman of Unicredit Private Banking S.p.A. since 2002.

- Mario Lupo - DirectorIndependent pursuant to T.U.F. and code of self-disciplineA law graduate from Rome University, he started his career at ANCE (Italian association of building constructors) where he became General Manager. In 1972 he moved to Montedison S.p.A. where he was made Managing Director in 1977. In 1978 he became Chairman of Standa, part of the Montedison Group, and was responsible for its re-launch. In 1985 he was appointed extraordinary administrator of the Fabbri paper group, which was under extraordinary administration by the Ministry of Industry and the following year was made Chairman and Managing Director of REL, a public finance company for consumer electronics. In 1987 he was appointed Chairman of Finsider, an IRI finance company for the iron and steel industry, and subsequently Chairman of ILVA. In 1988 he became President of the association of iron and steel companies Assider, later known as Federacciai. In 1991 he was appointed Deputy Chairman of Iritecna, becoming its Chairman in 1992. In 1996 he became Chairman and CEO of Vianini Lavori S.p.A. He has been Chairman and General Secretary of AGI, the association of major construction companies, since 1999 and has been a member of the board of Confindustria (Italian employers' federation) since 2005.

He has been responsible for and continues to be responsible for contractual relations with regard to the real estate sector, contracts and corporate acquisitions.
