Board of Auditors

The Board of Auditors is currently comprised of three statutory auditors and three substitute auditors.

Giovanni Fiori

Chairman

A Business and Economics graduate, he is a Chartered Accountant and Auditor. He was Deputy Chairman of Istituto Poligrafico e Zecca dello Stato (Italian National Mint and Printing House) (2004-2007) and a member of the Board of Statutory Auditors of Banca d’Italia (2007-2016). At the present time, he is a full professor of Corporate Economics and a lecturer in Corporate Governance and Internal Auditing at the Faculty of Economics of LUISS University in Rome. He is a member of the European Accounting Association (EAA) and European Corporate Governance Institute (ECGI), Special Commissioner of Alitalia LAI S.p.A, Alitalia Servizi S.p.A, Alitalia Express S.p.A., Alitalia Airport S.p.A. and Volare S.p.A., Special Commissioner of Ilva Pali Dalmine S.p.A. and Ilva Pali Dalmine design Community S.r.l. and Chairman of the Board of Auditors of Fondazione Telecom Italia. He is currently Chairman of Astaldi’s Board of Statutory Auditors.

Lelio Fornabaio

Standing statutory auditor

A Business and Economics graduate, he is a Chartered Accountant, an Auditor and a member of the Association of Technical Consultants for the Civil Court of Rome. A corporate consultant for a number of listed and unlisted companies and a member of the Board of Directors, Board of Statutory Auditors and Supervisory Board for various companies and organisations. He is a teacher of business economics at the Higher School of Economics and Finance and was a Councillor for business economic matters of the Ministry of Economics and Finance’s Cabinet (15th Legislature), Chairman of the Finance Commission of CNDCEC and member of the Ministry of Economics and Finance’s Committee for Accounting Standards for the Public Administration. He is currently a standing auditor for Astaldi.

Anna Rosa Adiutori

Standing statutory auditor

A Business and Economics graduate, she is a Chartered Accountant and Auditor. She set up her own accounting firm Studio Commercialista Associato Adiutori, based in Rome in 1983. She has been a full professor of Commercial Law at the Faculty of Economics of La Sapienza University in Rome since 2018. She is the author of numerous publications, including three works dealing with companies and subcontracting. She is a member of the Board of Statutory Auditors for various companies and is currently a standing auditor for Astaldi.

Gregorio Antonio Greco

Substitute statutory auditor

A Business and Economics graduate, he is a Chartered Accountant and Auditor. He has worked as a company tax consultant since 2003, mainly for company groups with private investors and, he also specialises in corporate restructuring and negotiation settlement instruments for business crisis. He is a member of the board of statutory auditors for various companies and performs audits. He is currently an alternate auditor for the Issuer.

Giulia De Martino

Substitute statutory auditor

An Economics graduate with a research doctorate in Business Economics at Roma Tre University. She is a Chartered Accountant, Auditor and Public Certified Auditor. She was appointed by Banca d’Italia as a member of the Supervisory Board of Banks and Financial Brokers subject to administrative receivership. At an academic level, she currently has a supplementary research contract for International Accounting Standards and IFRSs and works as an expert in the accounting and finance sector at LUISS University in Rome. She is the author of some technical works in the field of economics, including at an international level. She is currently an alternate auditor for Astaldi. 

Francesco Follina

Substitute statutory auditor

A Business and Economics graduate, he is a Chartered Accountant. He has worked as a consultant since 1984 specialising in company law, tax law, civil law-related and tax law-related aspects of annual and extraordinary financial statements and is a professor at the Training School of the Association of Chartered Accountants and Auditors of Rome. A technical consultant for the Civil Court, Criminal Court and Appeal Court of Rome, he was a member of the Direct Taxation Study Advisory Committee and consultant for the Ministry of the Environment and Protection of the Territory with regard to tax-related problems for commercial activities carried out. He is a consultant for the local health authorities of Rome. He is currently an alternate auditor for the Issuer.
