Board of Auditors

The Board of Auditors is currently comprised of three statutory auditors and three substitute auditors.

The professional activity carried out from 1993 has always been oriented to consultancy in corporate, administrative, contractual and tax matters in favor of medium and large companies, with particular regard to construction companies operating in public works, and in particular in the solution of complex problems concerning (i) the restructuring and reorganization of corporate groups, taking care of their strategic, legal-commercial, organizational, corporate and fiscal profiles; (ii) M&A transactions, mergers, demergers, spin-offs, contributions, transfers of corporate packages, and company branches and (iii) performing the functions of Chairman of the Board of Statutory Auditors and Statutory Auditor in numerous medium and large companies.
As part of the aforementioned professional activity, we proceed with the preparation of valuations of companies and business branches, the establishment of destined assets, as well as the completion of liquidation operations of companies of significant importance.
From a fiscal point of view, the activity has developed in the preparation of opinions on controversial or particularly complex topics and in the handling of tax disputes, in all the different procedural stages, including assistance to the legal reference in the Supreme Court.

Giuseppina Pisanti

Statutory auditor

Graduated with honors in Economics, she is a  Chartered Accountant and Statutory Auditor. She is a member of the Commission on the Tax Process at the Order of Chartered Accountants of Rome. She is a speaker at national and international conferences, as well as the author of articles, on international tax issues. She carries out activities of: (i) tax advisory, national and international tax planning for companies and individuals (Transfer Pricing, Tax Residence, Permanent Establishments, foreign investments, exchange of information between Financial Administrations, tax shields, voluntary disclosures, reporting obligations and tax monitoring according to Law 167/1990 for foreign investments and financial assets of residents in Italy, VAT in EU and non-EU trade and taxation of Trusts); (ii) written opinions and periodic information on relevant tax news; (iii) disputes and technical assistance of clients under Tax Courts. She is a member in the Board of Statutory Auditors of BBVA Finanzia S.p.A. in Liquidation, Chairwoman in the Board of Statutory Auditors of BE Credit Management S.p.A., member in the Board of Statutory Auditors and member in the Supervisory Body pursuant to Legislative Decree 231/2001 of Credito Fondiario S.p.A. and of CF Liberty Servicing S.p.A..

Piero Nodaro

Statutory auditor

Graduated in Law from “La Sapienza” University in Rome, before earning a Master in Corporate Law from “Luiss” University of Rome.
Founding Member of Nodaro-Baratta Law Firm.
He is admitted to practice before the Supreme Court of Cassation, and his law firm carries out consulting activities for insurance companies, private companies and state-owned public companies.
Lecturer in professional responsibility master’s degree. 
Member of Salini Simonpietro & C. s.a.p.a., Zeis and Astaldi’s Boards of Auditors.
Former Assistant in Constitutional Law in “La Sapienza” University and Head of Institutional relations with the European Comunity for a Company of the IRI Group.
