The Board has a central role in connection with corporate organisation.

Paolo Astaldi

Chairman

A Business and Economics graduate, he started his professional career with the Group in 1985. He is currently a member of Confindustria’s General Board, a member of Assonime’s Executive Board, a member of the Board of Regents of Banca d’Italia-Rome. Already a “Commendatore al Merito della Repubblica Italiana” since 1998, he was awarded the title of “Grande Ufficiale Ordine al Merito della Repubblica Italiana” in June 2011 by the President of the Italian Republic, Giorgio Napolitano. He has been the Chairman of Astaldi Group since 2010 after previously holding the office of Deputy Chairman since 2001.

Filippo Stinellis

Chief Executive Officer

A Civil Engineering graduate, he joined Astaldi Group in 1996, initially as a Site Manager or Technical Manager for various Italian projects. From 2002 to 2005 he held the position of Deputy General Manager of NPF S.c.r.l., the company set up to design and build the new Trade Fair Centre in Milan, a modern-day symbol of Italian excellence. From 2006 to 2013 he took on the role of Chief Executive Officer of Metro C S.p.A., the consortium in charge of building Line C of the Rome underground. From 2013 and 2016, he became General Manager for Turkey. In 2015 he took on the position of Business Activities Coordinator and was appointed a board member of Astaldi. He has been the CEO of Astaldi Group since 2016. Since 2020, he also holds the position of Astaldi Group’s General Manager for Turkey.

Andrea Gemma

Director**

A Law graduate, he has been a professor of Institutions and Private Law at Roma Tre University since 2013 and is a partner of Gemma & Partners tax law firm. He was a professor of Institutions and Private Law at Palermo University from 2006 to 2011 and a Visiting Professor at the Institute of Legal Sciences in Warsaw (2007) and at Universitat Pompeu Fabra in Barcelona (2007). He is a member of the National Anti-Corruption Authority’s Association of Arbitrators and a founding member of AICAS (the Italian Association of Company Directors and Statutory Auditors). He has been a member of Astaldi’s Board of Directors since 31 July 2020.

Maria Raffaella Leone

Director**

She is currently a Senior Vice President Quality & HSE Processes Optimization of ENI S.p.A., and served as a board member of Webuild (formerly Salini Impregilo S.p.A.) from 2018 to 2019. She held the position of Executive Deputy Chairman of ENI Foundation from 2014 to 2016. She was the executive assistant of ENI S.p.A.’s Chief Executive Officer from 2005 to 2014, Chairman of Servizi Aerei S.p.A., a board member of Fondazione ENI Enrico Mattei and AGI S.p.A. and a permanent member of the Executive Committee of ENI S.p.A. She was previously the executive assistant of ENEL S.p.A.’s Chief Executive Officer  (2002-2005) and a member of the Executive Committee of ENEL S.p.A. She has been a member of Astaldi’s Board of Directors since 31 July 2020.

Nicoletta Mincato

Director**

A Law graduate, lawyer and defence attorney at the Supreme Court of Cassation, she has worked in the legal sector for more than 20 years and is specialised in civil and company law, as well as in the administrative liability of organisations (Legislative Decree No. 231/2001). She served as a board member of Astaldi from 1999 to 2003 and was appointed a member of Astaldi’s Supervisory Board in 2004. She has been a member of Astaldi’s Board of Directors since 2013.

Daniela Montemerlo

Director**

Full Professor of Business Administration at Insubria University, SDA Bocconi Affiliate Professor of Strategy and Entrepreneurship, Family Business and Corporate governance and Professor of Strategic Management of Family Businesses at Bocconi University. She has been non-executive director of Aletti Gestielle SGR from March to December 2017, Independent director and member of the Internal Control and Risk Committee and the Independent Directors’ Committee of Banco Popolare from 2014 to 2016, Independent director and member of the Internal Control and Risk Committee of Credito Bergamasco from 2013 to 2014. She is non-executive director of two privately-held family companies and Chair of the supervisory body of three companies of Snam Group. She advises family firms and entrepreneurial families in Italy and abroad. She is non-executive director of Astaldi S.p.A. 

David Morganti

Director**

A Supreme Court lawyer, co-founder and managing partner of Morganti & Associati, with responsibility for coordinating the insurance law, and banking and financial law departments. He has gained vast experience in the insurance market, providing assistance for leading Italian and European insurers, reinsurers and insurance brokers, including the Lloyd’s market. He has assisted leading banks for over twenty years in the field of banking law. He can boast more than twenty years of experience in the field of bankruptcy and insolvency law and provides services for companies in receivership or under special administration. He has accrued more than ten years of expertise in the construction industry as an independent director of one of the leading corporate groups in this sector, including taking part in M&A transactions. He assists the most important public group in the construction and concessions sector regarding administrative law issues. He has taught insurance law and served as the Chairman of a Supervisory Body for compliance with Legislative Decree 231. He has been a non-executive Director of Astaldi S.p.A. since 2021.

Barbara Premoli

Director**

A Business and Economics graduate, professional accountant and Studio Rocco & Associati partner. Experience in M&A operations, corporate reorganization, extraordinary finance. Consultant for national and multinational companies, and involved in problems of non-profit organizations, associations and foundations, with particular focus about cultural aim.
Shows particular attention to sustainability and integration issues about ESG factors in strategic decisions, governance and business models and related impacts of digital transformation.
Specialized in corporate supervision and control, she is an independent director and member of the board of statutory auditors in leading national and international companies. Non-executive Director of Astaldi S.p.A. since 2021.
